A good retail shop or showroom combines strong footfall, clear title, proper approvals and a layout tenants actually want. Before you buy, check the location’s visibility and parking, the building’s completion certificate and commercial approvals, the carpet area you are really getting, and the taxes that apply to both the purchase and the rent. The checklist below walks through each step.

1. Location and footfall

  • Frontage and visibility: a ground-floor unit facing the main road usually commands more rent than an interior or upper-floor unit.
  • Parking: customers avoid shops they cannot park near. Check parking in the approved plan, not just what exists today.

2. Title and approvals

  1. Title: parent documents, patta and encumbrance certificate for the land, and the sale deed chain for the unit.
  2. Building approval: confirm the building was approved for commercial use, and that your floor and unit exist in the approved plan.

  4. TNRERA: commercial projects over 500 sq m of land or with more than eight units must register with TNRERA. Check the registration and approved plans on the portal.
  5. Fire safety and trade licence: larger buildings need fire clearance, and some trades need specific licences. Ask what the building has.

3. Area, layout and undivided share

RERA requires projects to sell on carpet area. Compare prices on that basis, since “super built-up” figures can include large shares of corridors and common areas. In a multi-unit building, check your undivided share of land under the Tamil Nadu Apartment Ownership Act, 2022, which also applies to commercial apartments, and the maintenance obligations that come with it.

Also look at ceiling height, column spacing, shopfront width, toilet access, power load and space for signage. Tenants such as banks, pharmacies and showrooms have firm layout needs.

For GST on an under-construction commercial unit, ask the builder to state the rate on the agreement, as it differs from residential units and between project types, and confirm it with your chartered accountant.

5. Renting it out

  • Lease terms: commercial leases commonly include a lock-in, periodic escalation, a security deposit and responsibility for maintenance. See commercial lease clauses to check.
  • Tenancy law: the Tamil Nadu Regulation of Rights and Responsibilities of Landlords and Tenants Act, 2017 covers non-residential premises too, and requires tenancy agreements to be registered with the Rent Authority.
  • GST on rent: commercial rent generally attracts 18% GST where the landlord is registered, and in some cases the tenant pays it under reverse charge. Check your position with a CA.
  • Income tax: rent is taxed as house property income after a 30% standard deduction on the net annual value. Tenants may deduct TDS on rent above the threshold (familiar section 194-I). These provisions are renumbered under the Income-tax Act, 2025.

6. Plan for vacancy and exit

Retail units can stay empty for months between tenants. Keep a buffer for maintenance and loan EMIs during vacancies. Units with flexible layouts and strong frontage tend to re-let faster and resell more easily.
